Legal terms and conditions for using Lawvion services

1. Acceptance of Terms

By accessing or using Lawvion's software, services, website, or documentation (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Lawvion Ltd. ("Lawvion," "we," "us," or "our").

2. Documentation Disclaimer and Limitation of Liability

IMPORTANT DISCLAIMER

Lawvion makes every reasonable effort to ensure that all software documentation, user guides, help materials, technical specifications, and other written materials (collectively, "Documentation") are accurate, complete, and current. However, Documentation may contain errors, omissions, typographical mistakes, or inaccuracies.

WE EXPRESSLY DISCLAIM ALL LIABILITY FOR ANY ERRORS, OMISSIONS, OR INACCURACIES IN OUR DOCUMENTATION. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAWVION SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO THE USE OF, RELIANCE ON, OR INABILITY TO USE ANY DOCUMENTATION, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or business opportunities
  • Business interruption or system downtime
  • Cost of procurement of substitute goods or services
  • Errors or mistakes made while following Documentation instructions
  • Misconfigurations or incorrect implementations based on Documentation
  • Any damages resulting from reliance on incomplete or outdated Documentation

2.1 Best Efforts Standard

Lawvion commits to using commercially reasonable efforts to:

  • Create comprehensive and accurate Documentation
  • Update Documentation to reflect software changes
  • Correct documented errors when brought to our attention
  • Maintain clarity and usability of all materials

However, this commitment does not create any warranty, express or implied, regarding the accuracy or completeness of Documentation.

2.2 User Responsibility

Users are solely responsible for:

  • Verifying the accuracy of Documentation before implementation
  • Testing configurations in non-production environments
  • Maintaining backups before making system changes
  • Consulting with qualified professionals when necessary
  • Reporting errors or inconsistencies to Lawvion support

3. Warranty Disclaimer

NO WARRANTY

THE SERVICES AND ALL DOCUMENTATION ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

Lawvion expressly disclaims all warranties, including but not limited to:

  • Merchantability: No warranty that the Services will meet your requirements or be suitable for any particular purpose
  • Fitness for Purpose: No warranty that the Services will achieve any specific result or outcome
  • Non-Infringement: No warranty that use of the Services will not infringe third-party rights
  • Accuracy: No warranty that content, Documentation, or data will be accurate, reliable, or error-free
  • Continuity: No warranty that the Services will be uninterrupted, secure, or virus-free
  • Defects: No warranty that defects will be corrected within any specific timeframe

3.1 No Professional Advice

Lawvion does not provide legal, accounting, tax, or other professional advice. Our Services are software tools only. Users must consult with qualified professionals for advice specific to their circumstances.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LAWVION, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

  • Indirect Damages: Any indirect, incidental, special, consequential, or punitive damages
  • Loss of Profits: Loss of profits, revenue, savings, or business opportunities
  • Data Loss: Loss of data, corruption of files, or loss of use
  • Business Interruption: Interruption of business or cost of downtime
  • Replacement Costs: Cost of procurement of substitute goods or services
  • Reputation Damage: Damage to reputation or goodwill

4.1 Liability Cap

Lawvion's total aggregate liability for all claims arising from or related to the Services shall not exceed the amount paid by you to Lawvion during the twelve (12) months immediately preceding the event giving rise to liability.

For free trial users, Lawvion's liability shall not exceed €100.

4.2 Basis of the Bargain

The limitations and exclusions in this Section 4 apply regardless of the legal theory on which a claim is based (contract, tort, negligence, strict liability, or otherwise), even if Lawvion has been advised of the possibility of such damages. These limitations reflect the allocation of risk between the parties and are a fundamental basis of the bargain.

5. Indemnification

You agree to indemnify, defend, and hold harmless Lawvion, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Your violation of applicable laws or regulations
  • Your reliance on Documentation or other materials
  • Any content or data you submit, post, or transmit through the Services

6. Service Descriptions and Pricing

6.1 SaaS Subscription

Lawvion offers a cloud-based Software-as-a-Service (SaaS) subscription:

  • Pricing: $100/€100/£100 per user per month (pricing varies by region)
  • Billing: Monthly or annual billing available
  • Free Trial: 30-day free trial with full feature access
  • Cancellation: Cancel anytime with no penalty

6.2 Air Gap On-Premise Deployment

Lawvion offers an Air Gap on-premise deployment option:

  • Pricing: $6,999/€6,999/£6,999 per seat (one-time perpetual license)
  • Deployment: Fully isolated on-premise installation
  • Data Control: All data remains on your infrastructure
  • Support: 12 months of support and updates included
  • License: Perpetual license key required for activation

6.3 Pricing Changes

Lawvion reserves the right to modify pricing with 30 days' notice. Price changes do not affect existing subscriptions until renewal.

7. Payment Terms

7.1 Payment Processing

All payments are processed securely through Stripe. By providing payment information, you authorize Lawvion to charge the applicable fees to your payment method.

7.2 Automatic Renewal

SaaS subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

7.3 Refund Policy

  • SaaS: No refunds for partial months. Cancel before renewal to avoid charges.
  • Air Gap: No refunds after license key delivery
  • Free Trial: No charges during trial period

7.4 Taxes

All prices are exclusive of applicable taxes, duties, or fees. You are responsible for all taxes associated with your purchase.

8. Intellectual Property Rights

8.1 Ownership

Lawvion retains all rights, title, and interest in and to the Services, including all software, Documentation, trademarks, logos, and other intellectual property. These Terms do not transfer any ownership rights to you.

8.2 License Grant

Subject to your compliance with these Terms and payment of applicable fees, Lawvion grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes.

8.3 Restrictions

You may not:

  • Copy, modify, or create derivative works of the Services
  • Reverse engineer, decompile, or disassemble the software
  • Remove or alter any proprietary notices or labels
  • Resell, sublicense, or distribute the Services to third parties
  • Use the Services for competitive analysis or benchmarking
  • Attempt to gain unauthorized access to any systems or data

8.4 Your Data

You retain all rights to data, content, and files you upload or create using the Services ("Your Data"). You grant Lawvion a limited license to host, store, and process Your Data solely to provide the Services.

9. Acceptable Use Policy

You agree not to use the Services to:

  • Violate any laws, regulations, or third-party rights
  • Transmit malicious code, viruses, or harmful materials
  • Interfere with or disrupt the Services or servers
  • Attempt unauthorized access to systems or accounts
  • Harass, threaten, or harm others
  • Distribute spam or unsolicited communications
  • Infringe intellectual property rights
  • Engage in fraudulent or illegal activities

10. Data Protection and Privacy

Lawvion is committed to protecting your privacy and complying with applicable data protection laws, including the General Data Protection Regulation (GDPR).

Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10.1 Air Gap Data Responsibility

For Air Gap deployments, you are the data controller and are solely responsible for compliance with all data protection laws. Lawvion does not have access to your operational data in Air Gap deployments.

11. Termination

11.1 Termination by You

You may terminate your subscription at any time through your account settings or by contacting support. Termination takes effect at the end of your current billing period.

11.2 Termination by Lawvion

Lawvion may suspend or terminate your access to the Services immediately if you:

  • Violate these Terms or Acceptable Use Policy
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activities
  • Pose a security risk to the Services or other users

11.3 Effect of Termination

Upon termination:

  • Your access to the Services will cease immediately
  • You must cease all use of the Services and Documentation
  • Lawvion may delete Your Data after a 30-day grace period
  • You remain liable for all fees accrued prior to termination
  • Sections that by their nature should survive will continue to apply

12. Support and Maintenance

12.1 Support Availability

Lawvion provides customer support via:

  • Email: support@lawvion.ie (Business hours: Monday-Friday, 9 AM - 6 PM GMT)
  • Phone: +353 15670067
  • Support portal (for active subscribers)

12.2 Support Scope

Support includes:

  • Technical assistance with software functionality
  • Bug reporting and resolution
  • Documentation clarification
  • Account management assistance

Support does NOT include:

  • Custom development or modifications
  • Data recovery from user errors
  • Integration with third-party systems (beyond documented APIs)
  • Training beyond standard Documentation

12.3 Service Level Agreement (SLA)

SaaS subscriptions target 99.9% uptime on a monthly basis. Downtime for scheduled maintenance does not count against uptime. Lawvion provides no SLA for free trial accounts.

13. Updates and Modifications

13.1 Software Updates

Lawvion may update the Services at any time to:

  • Add new features or functionality
  • Fix bugs or security vulnerabilities
  • Improve performance or reliability
  • Comply with legal requirements

13.2 Changes to Terms

Lawvion reserves the right to modify these Terms at any time. Material changes will be communicated via:

  • Email notification to registered users
  • Notice on the website
  • In-app notification

Continued use of the Services after changes constitutes acceptance of the modified Terms.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions.

Any disputes arising from or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Dublin, Ireland.

14.1 EU Users

Nothing in these Terms affects your rights as a consumer under EU consumer protection laws.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating formal proceedings, parties agree to attempt to resolve disputes informally by contacting legal@lawvion.ie.

15.2 Arbitration (where permitted)

Where permitted by law, disputes may be resolved through binding arbitration under the rules of the Irish Arbitration Act 2010.

15.3 Class Action Waiver

To the extent permitted by law, you agree to bring claims only on an individual basis and not as part of any class or representative action.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Lawvion regarding the Services and supersede all prior agreements, communications, and understandings, whether written or oral.

18. Force Majeure

Lawvion shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, natural disasters, pandemics, government actions, internet service provider failures, or power outages.
